These Terms of Service (the "Terms") are a binding agreement between you and BLOK Group, a Corporation incorporated in Tennessee ("BLOK", "we", "us", or "our"), governing your access to and use of the BLOK platform, including the Launchpad application, the Rex AI assistant, and all related services, websites, and applications (collectively, the "Service").
If you are using the Service through an organization (such as a real estate brokerage or team) that has entered into a Master Service Agreement or other written agreement with BLOK (your "Organization"), that agreement governs to the extent it conflicts with these Terms, and your Organization's administrators control your account, your role, and the modules available to you.
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
BLOK provides Rex, an AI-powered assistant that can answer questions, analyze market data, generate comparative market analyses (CMAs) and market reports, and produce other work product. Depending on your subscription plan and the modules enabled for your Organization, the Service may include:
Contact and lead management, including data synchronized from third-party CRMs you connect (such as Lofty);
Access to Multiple Listing Service ("MLS") listing data, where you have purchased an MLS add-on and hold the required MLS membership (see Section 7);
Document storage and a tenant knowledge base;
Property sharing, saved properties, and client-facing reports;
Third-party integrations you choose to connect (see Section 8).
We may add, modify, or discontinue features of the Service. We will provide reasonable notice of material reductions in core functionality.
2. Eligibility and Accounts
2.1 Eligibility. You must be at least 18 years old and capable of forming a binding contract. The Service is intended for business and professional use by real estate professionals; it is not directed to consumers or children.
2.2 Account registration. You must provide accurate, current, and complete information when creating an account and keep it up to date. Accounts are provisioned either by your Organization's administrator (by invitation) or through self-signup where your Organization has enabled it.
2.3 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Passwords must meet our minimum requirements (currently at least 12 characters with mixed character classes). Multi-factor authentication is available and may be mandatory where required by your Organization. Notify us immediately at support@blok.co of any suspected unauthorized access.
2.4 Organization control. If your account belongs to an Organization's workspace, your Organization's principals and administrators may manage your role, enable or disable modules, suspend or archive your account, and access data in the workspace. BLOK is not responsible for your Organization's exercise of those controls.
3. Subscriptions, Trials, and Billing
3.1 Plans. The Service is offered on paid subscription plans (for example, REX Individual, REX Business, and REX Enterprise), billed on a recurring basis through our payment processor, Stripe. Current pricing is presented at checkout. Where your Organization operates on invite-only, platform-managed billing, billing is governed by your Organization's agreement with BLOK, and self-service billing functions are unavailable to you.
3.2 Free trial. New self-signup subscriptions may include a free trial (currently 30 days). A valid payment method is required to start a trial. When the trial ends, your subscription converts to a paid subscription and your payment method is charged automatically, unless you cancel before the trial ends. Trials are limited to one per person. To enforce this, we check a one-way cryptographic hash of your email address and your payment card's network fingerprint against prior trial use. If you are not eligible for a trial, you will be shown the charge and asked for explicit consent before being billed immediately.
3.3 Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You authorize us and Stripe to charge your payment method for all fees, taxes, and charges due.
3.4 Add-ons. Optional add-ons (such as the Realtracs MLS add-on) are billed as additional recurring items on your subscription. When you purchase an add-on mid-cycle, a prorated charge for the remainder of the current billing period is invoiced immediately. Purchasing an add-on during a free trial ends the trial immediately and begins paid billing for the full subscription.
3.5 Cancellation. You may cancel your subscription or add-ons at any time through your billing settings. Cancellation takes effect at the end of the current billing period; you retain access until then. Fees already paid are non-refundable except as described in our Refund Policy or required by applicable law.
3.6 Failed payments. If a renewal payment fails, we will notify you and provide a payment link. We may maintain your access during a grace period (currently 3 days) while payment is retried. If payment is not received, your subscription and access may be suspended or cancelled.
3.7 Price changes. We may change prices with at least 30 days' notice; changes apply at your next renewal.
3.8 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes other than taxes on our net income.
4. Your Content and Data
4.1 Your Content. "Your Content" means data, documents, messages, contacts, and other materials that you or your Organization submit to the Service, including content synchronized from connected third-party services. As between you and BLOK, you (or your Organization) retain all rights in Your Content.
4.2 License to BLOK. You grant BLOK a worldwide, non-exclusive license to host, store, process, transmit, display, and create derivative technical artifacts of (for example, search indexes and vector embeddings) Your Content, solely to provide, secure, and improve the Service and as otherwise permitted by our Privacy Policy and, where applicable, the Data Processing Agreement with your Organization. Information we receive from Google APIs is used only as described in the Google User Data section of the Privacy Policy, in line with the Google API Services User Data Policy, including its Limited Use requirements, and is never used to train generalized artificial intelligence or machine-learning models.
4.3 Responsibility. You are responsible for Your Content, including its accuracy and legality, and for having all rights and consents needed to submit it — including consents required to upload personal information about your clients and to send communications to them through the Service.
4.4 Data protection. Our collection and use of personal information is described in our Privacy Policy. Where BLOK processes personal data on behalf of your Organization, the Data Processing Agreement applies.
4.5 Deletion and archival. Account and record deletion within the Service is implemented as archival (records are flagged as archived rather than immediately destroyed) to preserve auditability and comply with our retention obligations. Erasure requests are honored as described in the Privacy Policy. Rex conversations are an exception: they are permanently deleted on the schedule described in the Privacy Policy.
5. AI Features (Rex)
5.1 Nature of AI output. Rex and other AI features generate output using large language models and automated data analysis. AI output is probabilistic and may be inaccurate, incomplete, or outdated. You must independently verify AI output before relying on it or providing it to a client.
5.2 Not professional advice. AI output — including CMAs, market reports, property valuations, and pricing suggestions — is provided for informational purposes only. It is not an appraisal, and it is not legal, financial, tax, lending, or investment advice. A CMA generated by the Service does not satisfy any legal requirement for a licensed appraisal.
5.3 Your obligations. You are responsible for your use of AI output, including compliance with real estate licensing rules, advertising rules, fair housing laws, MLS rules, and any disclosure obligations that apply to you. Do not use AI features to make decisions that produce legal or similarly significant effects on individuals without human review.
5.4 Prohibited AI use. You may not use AI features to generate content that is unlawful, discriminatory (including steering or other fair housing violations), deceptive, or infringing.
5.5 AI providers. AI features are powered by third-party AI providers identified in the Privacy Policy and in Annex III of the Data Processing Agreement. They process Your Content only to generate the output you request.
6. Acceptable Use
You agree not to, and not to permit others to:
Use the Service in violation of applicable law or regulation;
Access or attempt to access another tenant's or user's data, or probe, scan, or test the vulnerability of the Service without our prior written authorization;
Circumvent usage limits, entitlement checks, authentication, or security controls (including trial-eligibility controls);
Scrape, bulk-export, resell, or redistribute data from the Service except through features we provide for that purpose;
Upload malicious code or content that infringes intellectual property, privacy, or publicity rights;
Send spam or communications that violate the CAN-SPAM Act, the TCPA, or equivalent laws;
Use the Service to build a competing product, or reverse engineer the Service except where permitted by law;
Share account credentials or use one account for multiple individuals.
We may suspend or terminate access for violations, with notice where practicable.
7. MLS Data
7.1 Licensing. MLS listing data available through the Service is licensed from the relevant MLS (for example, Realtracs) and its data providers. Access requires (a) an active MLS add-on subscription, (b) your own valid MLS membership or authorization for the relevant board, and (c) our verification of your MLS credentials.
7.2 Restrictions. MLS data is subject to the rules of the originating MLS, including attribution, display, and sold-data rules. You may not remove attributions or disclaimers, redistribute MLS data outside the Service, or use MLS data other than in connection with your real estate business as permitted by your MLS agreement. Your MLS access through the Service terminates when your add-on subscription or MLS membership ends.
7.3 No warranty. MLS data is provided "as is" from the source MLS. BLOK does not guarantee its accuracy, completeness, or timeliness.
8. Third-Party Services and Integrations
The Service allows you to connect third-party services (for example, Lofty, Dotloop, Google Workspace services such as Gmail, Google Drive, and Google Calendar, and sign-in with Google, Microsoft, or Apple). By connecting a third-party service, you authorize BLOK to exchange data with it on your behalf. When you connect a Google account, Rex accesses your Google data only to carry out actions you request, as described in the Privacy Policy. Third-party services are governed by their own terms and privacy policies; BLOK is not responsible for them. Disconnecting an integration stops future synchronization but does not automatically delete previously synchronized data.
9. Intellectual Property
The Service, including its software, design, and documentation, is owned by BLOK and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription in accordance with these Terms. We may use feedback you provide without obligation to you. BLOK's trademarks may not be used without our prior written consent; white-label branding rights, if any, are governed by your Organization's agreement with BLOK.
10. Confidentiality of Beta Features
We may offer beta or preview features identified as such. Beta features are provided "as is", may change or be withdrawn at any time, and may be subject to additional terms.
11. Suspension and Termination
11.1 We may suspend or terminate your access: (a) for material breach of these Terms not cured within 10 days of notice (or immediately for breaches of Sections 4, 5, 6, or 7); (b) for non-payment after the grace period; (c) if required by law or by an MLS or data provider; or (d) if your Organization's agreement with BLOK ends.
11.2 You may stop using the Service and cancel at any time under Section 3.5.
11.3 Upon termination, your right to access the Service ends. We will make Your Content available for export for 30 days after termination on written request, after which we may delete or archive it in accordance with our retention practices and the Privacy Policy, except where longer retention is required by law.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR AI OUTPUT WILL BE ACCURATE, UNINTERRUPTED, OR ERROR-FREE. BLOK DOES NOT WARRANT ANY OUTCOME FROM YOUR USE OF THE SERVICE, INCLUDING ANY REAL ESTATE TRANSACTION OUTCOME.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) BLOK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA; AND (B) BLOK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO BLOK FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You will defend and indemnify BLOK against third-party claims arising from (a) Your Content, (b) your violation of these Terms or applicable law (including real estate licensing, fair housing, and MLS rules), or (c) your use of AI output in client-facing or transactional contexts.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.
16. Changes to These Terms
We may update these Terms from time to time. For material changes we will provide notice (for example, by email or in-app notice) at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may cancel under Section 3.5.
17. General
These Terms, together with the Privacy Policy, Refund Policy, Data Processing Agreement, any order form, and (for Organizations) the Master Service Agreement are the entire agreement regarding the Service. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to BLOK must be sent to:
